Terms of Service

This Terms of Service and User Agreement ("Agreement") governs the access to and use of the RodaGo platform. Please read it carefully. By using the Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement in its entirety.

1. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set out below:

"Platform" means the RodaGo website, mobile interfaces, and all related online services operated under the RodaGo brand.
"RodaGo", "we", "us", "our" means the operator of the Platform.
"User" means any person who accesses or uses the Platform in any capacity, whether as a Listing Owner or as a Customer.
"Listing Owner" means a User who publishes a Listing on the Platform offering a Vehicle for rent or sale.
"Customer" means a User who browses, inquires about, rents, or purchases a Vehicle through information obtained from the Platform.
"Listing" means any advertisement, post, description, photograph, price, specification, or other content uploaded by a Listing Owner.
"Vehicle" means any scooter, motorcycle, car, or other means of transportation offered through a Listing.
"Transaction" means any rental, sale, purchase, payment, deposit, or other agreement entered into between Users.

2. Platform Role

RodaGo is an online intermediary platform domiciled in the Republic of Indonesia and operated primarily in Bali, which enables Users to publish and discover Listings for the rent or sale of Vehicles.

RodaGo expressly states, and the User expressly acknowledges, that:

RodaGo does not own, lease, rent out, sell, operate, store, transport, insure, maintain, or repair any Vehicle listed on the Platform;
RodaGo is not a rental company, vehicle dealer, broker, agent, employer, insurer, or guarantor of any User or Transaction;
RodaGo is not a party to any rental, sale, purchase, deposit, payment, or other contractual arrangement entered into between Users;
The role of RodaGo is strictly limited to that of a technical facilitator that hosts Listings submitted by Listing Owners and enables Customers to discover and contact Listing Owners.

Any Transaction concluded between a Customer and a Listing Owner constitutes a private agreement between those Users. All rights, obligations, risks, and liabilities arising from or in connection with any such Transaction rest exclusively with those Users, and not with RodaGo.

3. Acceptance of Terms

By accessing, browsing, registering an account, publishing a Listing, contacting another User, or otherwise using the Platform in any manner, the User confirms that the User has read, understood, and unconditionally accepted this Agreement, together with the Privacy Policy and any other policies referenced herein.

If the User does not agree with any provision of this Agreement, the User shall immediately cease using the Platform.

4. User Eligibility and Accounts

The Platform is intended exclusively for Users who are at least eighteen (18) years of age and possess full legal capacity to enter into legally binding agreements under Indonesian law.

The User undertakes to:

provide accurate, current, and complete information when creating and maintaining a User account;
maintain the confidentiality of account credentials and bear sole responsibility for all activity conducted through the account;
promptly notify RodaGo of any unauthorized use of the account.

5. User Obligations

Each User shall, at all times when using the Platform, comply with all applicable laws and regulations of the Republic of Indonesia, including but not limited to Law No. 11 of 2008 on Electronic Information and Transactions (as amended), Law No. 8 of 1999 on Consumer Protection, Law No. 22 of 2009 on Road Traffic and Transportation, and all applicable taxation, licensing, immigration, and consumer protection regulations.

Listing Owners further represent and warrant that they:

are the lawful owner of the Vehicle, or are duly authorized by the lawful owner to offer the Vehicle for rent or sale;
hold all licenses, permits, registrations, taxes, and insurances required by Indonesian law to operate, rent out, or sell the Vehicle;
provide accurate, complete, and truthful information about the Vehicle, including (without limitation) photographs, descriptions, technical specifications, condition, mileage, year, price, availability, insurance status, and deposit terms;
are solely responsible for performing the rental or sale agreement entered into with the Customer.

Customers further represent and warrant that they:

shall independently verify all information about the Vehicle and the Listing Owner before entering into any Transaction;
hold a valid driving license recognized in Indonesia and shall comply with all applicable road traffic laws;
shall conduct themselves lawfully and respectfully in all communications with other Users.

6. Listings Disclaimer

All Listings on the Platform are created, uploaded, and managed exclusively by Listing Owners. The Listing Owner bears full and exclusive responsibility for:

the accuracy, completeness, and truthfulness of all photographs displayed in the Listing;
the accuracy, completeness, and truthfulness of all descriptions, specifications, and disclosures;
the actual physical, mechanical, and legal condition of the Vehicle;
the pricing, deposit, and payment terms stated in the Listing;
the availability of the Vehicle and the performance of any reservation;
compliance with all applicable laws, registrations, taxes, and insurance requirements.

RodaGo expressly disclaims any responsibility for the content of Listings. RodaGo does not guarantee, represent, warrant, or endorse that:

photographs displayed in a Listing accurately reflect the actual Vehicle;
any description, specification, or condition statement is accurate, complete, or truthful;
any Vehicle is roadworthy, safe, lawful, insured, or fit for any particular purpose;
any Listing Owner is honest, solvent, reliable, or able to perform any obligation;
any Vehicle will be available on the date, at the location, or at the price stated.

RodaGo may, at its sole discretion, conduct basic moderation of Listings, which may include a visual review of photographs, descriptions, or other content for compliance with general Platform rules. Such moderation shall not constitute verification, authentication, inspection, certification, endorsement, or any form of guarantee of any Listing, Vehicle, or Listing Owner. The presence of any "verified", "trusted", "approved", or similar designation on the Platform refers solely to the limited steps undertaken by RodaGo and shall under no circumstances be interpreted as a warranty of safety, quality, authenticity, or fitness.

Customers are solely responsible for independently inspecting, testing, and verifying any Vehicle, any Listing Owner, and the lawfulness of any Transaction before entering into it.

7. No Liability for User Interactions

All communications, negotiations, agreements, payments, deposits, deliveries, returns, and other interactions between Users — whether occurring on the Platform, by WhatsApp, telephone, email, in person, or through any other channel — take place exclusively between the Users concerned.

RodaGo shall not be liable, under any theory of contract, tort, statute, or otherwise, for any loss, damage, injury, claim, demand, dispute, or expense of any kind arising out of, or in any way connected with:

any agreement or arrangement entered into between Users, whether concluded on or off the Platform;
any misrepresentation, fraud, deception, dishonesty, theft, or unlawful act committed by any User;
any failure of a Listing Owner to deliver, perform, or maintain a Vehicle as advertised;
any accident, collision, breakdown, mechanical failure, fire, theft, loss, or damage to any Vehicle;
any personal injury, illness, death, or property damage suffered by any User or third party;
any administrative penalty, fine, traffic violation, or criminal proceeding involving any User;
any miscommunication, misunderstanding, or non-performance between Users;
any direct contact, off-platform negotiation, cash transaction, or other dealing between Users.

The User acknowledges and agrees that the User interacts and transacts with other Users entirely at the User's own risk.

8. Limitation of Liability

The Platform is provided strictly on an "as is" and "as available" basis. To the fullest extent permitted by applicable Indonesian law, RodaGo, together with its directors, commissioners, officers, employees, agents, contractors, and affiliates, expressly disclaims all warranties, representations, and conditions of any kind whatsoever, whether express, implied, statutory, or otherwise, including (without limitation) any implied warranty of merchantability, fitness for a particular purpose, accuracy, completeness, uninterrupted availability, error-free operation, security, or non-infringement.

RodaGo does not warrant that the Platform will be available at any particular time, that defects will be corrected, that the Platform is free from viruses or other harmful components, or that any information obtained through the Platform is reliable.

To the maximum extent permitted by law, RodaGo shall not be liable to any User for any direct, indirect, incidental, consequential, special, exemplary, punitive, or any other damages whatsoever, including (without limitation) loss of profit, loss of revenue, loss of business, loss of data, loss of goodwill, loss of opportunity, or cost of substitute services, arising out of or in connection with the use of, or the inability to use, the Platform, regardless of the cause of action and regardless of whether RodaGo has been advised of the possibility of such damages.

In any event in which a court of competent jurisdiction determines that liability cannot be entirely excluded, the aggregate liability of RodaGo to any single User in respect of all claims arising from or in connection with the Platform or this Agreement shall not exceed the equivalent of one million Indonesian Rupiah (IDR 1,000,000) or the total amount actually paid by such User to RodaGo during the twelve (12) months preceding the event giving rise to the claim, whichever is lower.

9. Moderation Rights

RodaGo reserves the right, but assumes no obligation, at any time and at its sole discretion, without prior notice and without any liability towards Users, to:

review, edit, refuse to publish, remove, suspend, hide, or delete any Listing or other User content;
limit, suspend, deactivate, or permanently terminate any User account;
restrict access to any part of the Platform;
modify, suspend, or discontinue any feature of the Platform, in whole or in part;
cooperate with law enforcement, regulatory authorities, and judicial bodies, and disclose information as required by applicable law.

The exercise or non-exercise of any of these rights by RodaGo shall not be construed as creating any obligation on the part of RodaGo to monitor, verify, or moderate Listings or User conduct.

10. Prohibited Conduct

The User shall not, directly or indirectly:

publish false, misleading, deceptive, or fraudulent Listings or information;
publish content that is unlawful, defamatory, obscene, discriminatory, harassing, or that violates the rights of any third party;
use the Platform for any illegal, illicit, or fraudulent purpose;
attempt to circumvent, disable, or interfere with the security or operational features of the Platform;
extract, scrape, copy, reproduce, or commercially exploit content from the Platform without prior written authorization from RodaGo;
use any automated means (bots, scrapers, crawlers) to access the Platform without authorization;
create multiple accounts in order to manipulate ratings, Listings, or other features of the Platform;
impersonate any other person, or misrepresent any affiliation with any person or entity.

11. Intellectual Property and User Content

All intellectual property rights in and to the Platform, including its design, source code, trademarks, logos, and original textual content, are and shall remain the exclusive property of RodaGo or its licensors.

By uploading content (including photographs, descriptions, and other materials) to the Platform, the User grants RodaGo a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, store, reproduce, modify (for technical purposes such as resizing and watermarking), distribute, display, and promote such content on the Platform and in connection with the marketing and operation of the Platform.

The User warrants that the User owns or has all necessary rights to the content uploaded, and that such content does not infringe any third-party right.

12. Dispute Resolution

RodaGo is not obligated, and shall not be required, to mediate, arbitrate, investigate, or resolve any dispute between Users, including (without limitation) disputes regarding payment, deposit, Vehicle condition, performance, cancellation, damage, or alleged misconduct.

Users shall make all reasonable efforts to resolve any dispute amongst themselves in good faith and without the involvement of RodaGo.

Where amicable resolution between Users cannot be reached, the parties shall pursue resolution through the competent courts of the Republic of Indonesia in accordance with applicable Indonesian law, and shall make no claim of any kind against RodaGo in connection with such dispute.

Any dispute, claim, or controversy arising between a User and RodaGo in connection with the Platform or this Agreement shall be subject to the exclusive jurisdiction of the District Court of Denpasar (Pengadilan Negeri Denpasar), Bali, Indonesia, without prejudice to any mandatory consumer protection rights granted to the User by Indonesian law.

13. Indemnification

The User agrees to indemnify, defend, and hold harmless RodaGo, its directors, commissioners, officers, employees, agents, and affiliates from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

the User's breach of this Agreement;
any content uploaded by the User to the Platform;
any Transaction entered into by the User;
any violation of applicable law by the User;
any infringement of third-party rights by the User.

14. Termination

The User may terminate this Agreement at any time by closing the User's account and ceasing to use the Platform.

RodaGo may suspend or terminate this Agreement and the User's access to the Platform, in whole or in part, at any time, with or without cause and with or without notice, including (without limitation) in the event of suspected breach of this Agreement, suspected fraud, suspected unlawful conduct, or for operational reasons.

Termination shall not relieve the User of any obligations accrued prior to termination. The provisions of this Agreement which by their nature should survive termination — including the Listings Disclaimer, the No Liability for User Interactions clause, the Limitation of Liability clause, Indemnification, Dispute Resolution, and Governing Law — shall survive termination.

15. Modifications to the Agreement

RodaGo may amend this Agreement from time to time. The amended version shall take effect upon its publication on the Platform. Continued use of the Platform by the User following the publication of an amended Agreement shall constitute the User's acceptance of such amendments. Where amendments materially affect the User's rights, RodaGo shall make reasonable efforts to notify the User by email or by a notice on the Platform.

16. Severability

If any provision of this Agreement is held by a competent court to be invalid, illegal, or unenforceable, such provision shall be deemed modified to the minimum extent necessary to render it enforceable, or, if not possible, severed, and the remaining provisions shall continue in full force and effect.

17. No Waiver

Any failure or delay by RodaGo to enforce any provision of this Agreement shall not constitute a waiver of such provision or of the right to enforce it at any subsequent time.

18. Governing Law

This Agreement and any non-contractual obligations arising out of or in connection with it shall be governed by and construed exclusively in accordance with the laws of the Republic of Indonesia, without regard to its conflict-of-laws principles.

19. Language

This Agreement may be published in multiple languages. In accordance with Law No. 24 of 2009 of the Republic of Indonesia concerning the National Flag, Language, Coat of Arms, and Anthem, the Indonesian-language (Bahasa Indonesia) version shall be the binding authoritative version. Any English-language or other-language translation is provided for convenience only, and in the event of any discrepancy or inconsistency between versions, the Indonesian-language version shall prevail.
